ARTICLE I: MEMBERSHIP
Membership for the Association shall be full members who are voting members
having paid annual dues and who have been in the promotion of post‑secondary
developmental education or employed full‑time or part‑time as a learning
assistant or developmental faculty member or teaching assistant or
professional support person in the post‑ secondary institutions. Personnel
who are employed in TRIO Programs are welcome to join.
ARTICLE II: DUES
The annual dues of $15.00 for members
shall be reviewed each year and set by the Executive Board with two-thirds
approval of the membership present at the annual business meeting. The
fiscal year shall be from annual conference to annual conference.
ARTICLE III: DUTIES OF OFFICERS

President: Duties shall include acting
as the executive officer for a conference year; implementing the actions
of professional development programs, meetings, and the annual conference;
serving on the Conference Planning Committee; promoting professional
communications through newsletters and bulletins; recommending a budget to
the Executive Board at the first meeting after election; appointing all
committee members and acting as an ex‑officio member of all committees,
except the Nominating Committee; updating the officers’ handbook for the
year in which he or she installs the new officers; serving as the liaison
to NADE. The President shall act at his/her own discretion in situations
he/she considers to be emergencies, subject to later discussion and action
by the Executive Board, and shall otherwise implement the provisions of
the constitution and by‑laws.

President‑Elect: Duties shall include
acting as executive officer in the absence of the President; chairing the
Conference Planning Committee; preparing for the duty of President during
the succeeding year.

Recorder: Duties shall include
recording activities and actions of all Executive Board meetings and the
membership meetings; acting as mailing officer for all associational
meetings; serving on the Nominating Committee.

Membership/Treasurer: Duties shall
include maintaining and reporting of all financial matters relating to the
Association, such as collecting dues and disbursing funds adhering to the
budget as set forth by the Executive Board; publishing an annual list of
members; acting as membership chairperson; keeping all money in non‑interest‑bearing
accounts unless the Association votes to incorporate.

Newsletter Editor: Duties shall
include compiling, editing, and printing at least two newsletters per
year; serving on the Nominating Committee; maintaining the MADE web site;
maintaining the bulk email database.

Immediate Past President: Duties shall
include chairing the Nominating Committee; serving on the Conference
Planning Committee; and performing other duties as assigned by the
President.

Members‑At‑Large: Duties shall include
aiding in the planning and execution of the annual conference; completing
other tasks assigned by the President. Some of the duties that may
be assigned to one or more of the Members-At-Large include serving as
Historian, chairing the Scholarship Committee, serving as Political
Liaison, coordinating Cultural Diversity efforts, and serving as an
adjunct representative.
ARTICLE IV: TERMS OF OFFICE

Each newly elected officer shall take
office at the business meeting of the annual conference and shall serve
for one year, except for the offices of Membership/Treasurer and
Newsletter Editor, who shall serve for two years. The
President‑Elect shall succeed into the position of President upon the
completion of one year. The President shall succeed into the position of
Immediate Past President upon the completion of one year. The
President‑Elect and Recorder shall be elected annually; the
Membership/Treasurer and Newsletter Editor shall be elected biennially,
The Members‑At‑Large shall be appointed annually.

If an elected board member must leave
office before his or her term is over, the steps below will be followed:
A. If the remaining term is less than one year, the President will
appoint a chapter member to fill the position.
B. If the remaining term is more than one year, the Nominating
Committee, led by the Immediate Past President, will coordinate a special
election.

ARTICLE V: COMMITTEES

The Committees for the Association
shall include the Nominating Committee and other committees as appointed
by the President.

The duties of the Nominating Committee
shall include:
A. Issuing a call for recommendations for nominees through the MADE
newsletter.
B. Obtaining documented consent (written or phone) from each
candidate nominated for office.
C. Preparing a slate of nominees for open positions at each annual
conference.
D. Attending the annual conference for the purpose of coordinating
on‑site election activities.
E. Coordinating all aspects of the election process.
F. Providing that two or more members of the Nominating Committee
(excluding any nominees) count all ballots and inform the Executive Board
of the results for each office.
G. Assuring that all nominees are members of or will become members
of NADE.
H. Developing criteria to be used in the selection of recommended
nominees and submitting these criteria to the Executive Board for
approval.
I. Coordinate special elections as needed.

The duties of the Conference Planning
Committee shall include:
A. Coordinating short range planning for the upcoming annual
conference.
B. Coordinating long range planning for future annual conferences.

The duties of the Scholarship
Committee include the following steps for all scholarships offered:
A. Setting the scholarship criteria.
B. Issuing a call for applications for the scholarship.
C. Reviewing applications and selecting a winner.
D. Coordinating fund raising for scholarships, including the silent
auction.

The duties of other committees shall
include discharging such responsibilities as may be delegated to them by
the President and/or the Executive Board.
ARTICLE VI: AMENDMENTS
Amendments to the by‑laws may be made by
a two‑thirds vote of the members present at any regularly scheduled meeting,
provided that notice of such amendments has been prepared in written form
and distributed to the membership prior to the scheduled meeting.
ARTICLE VII: RULES OF ORDER
Roberts Rules of Order, Revised,
shall guide the Association in all areas not in these by‑laws.
